Terms of Service
Last updated October 26, 2026
These terms are an agreement between you and SUZZU, LLC, a Delaware limited liability company (“we”, “us”), which makes Shinji. They cover shinji.ai and Shinji, the AI agent that works in your store. By creating an account or using Shinji, you accept them. If you use Shinji for a business, you accept them for that business, and confirm you may.
In short
- Shinji sends a change to your store only after you approve it: one change per approval, within your limits.
- You stay responsible for your store, your seller account, and what you approve.
- Basic is $199 a month per store, with AI included each week. Extra AI use is added to your next invoice.
- Cancel anytime. Shinji keeps working until the end of the period you’ve paid for.
- Our Privacy Policy says how we handle personal information.
1. Shinji
- Shinji is an AI agent for your store. Each store gets an agent of its own, on a computer of its own. Today it works in TikTok Shop stores in the US.
- It reads your Seller Center, answers your questions, finds the work, and puts changes to you as cards. It sends a change to your store only after you approve it: one change per approval, re-checked first, within your limits. Today the limits are up to $30 a change, and $100 and 20 changes a day.
- It’s a pilot. After you subscribe, we start with a call to agree which jobs Shinji does for your store. Questions about your shop work once you’re connected; sample decisions and buyer replies switch on during onboarding.
- Shinji is independent, and isn’t affiliated with or endorsed by TikTok.
- We keep improving Shinji, so what it does will change. If a change takes away something you pay for, we’ll tell you first.
2. Your account
- You must be 18 or older, and use Shinji for a business.
- Keep your sign-in safe: you’re responsible for what’s done with your account. For now, one person signs in for each store.
- Use an email address you read. It’s where we reach you.
3. Your store and TikTok
- You sign in to Seller Center yourself, on your agent’s computer. We never ask for your password or a code. We suggest a sub-account you make for Shinji.
- You stay responsible for your store and your seller account under TikTok Shop’s policies.
- Shinji works in Seller Center’s own pages, as a person would. TikTok can change its pages, its terms and how it enforces them. It may sign Shinji out, ask for a check, or limit what Shinji can do, and it could act on your account for what’s done in it. Shinji never solves or gets around TikTok’s checks: a check TikTok asks for is yours to pass. We can’t promise TikTok won’t act, and we’re not responsible for what TikTok does.
- Shinji’s browser loads and reads pages. Some of TikTok’s own requests that count as reads can change things in your store, so we don’t promise its browsing never changes anything.
4. What you approve
- Each card says what will change. Read it before you approve: you’re responsible for each change you approve.
- Shinji’s drafts are checked for contact details and for offers you haven’t made, but a check can miss a misleading line or a promise you wouldn’t make. What’s sent is the exact text you approve.
- Check anything Shinji makes for you, such as a reply or an ad video, before you use it.
- Shinji can be wrong, late, or miss work. It checks each area at least hourly and pings you before a deadline it found in time, but it can miss one: while TikTok has signed it out or asks for a check, while you’re using its browser, during an outage, or if a ping doesn’t reach you. Keep an eye on your store’s deadlines yourself.
5. Fees and billing
- Basic costs $199 a month per store, plus any tax that applies. It’s billed monthly, in advance, by card through Stripe, starting at checkout. Today that’s before buyer replies and sample decisions are switched on for your store. Any other plan costs what shinji.ai, or our written agreement with you, says.
- AI is included: 2 million usage tokens a week, counted afresh every Monday at 00:00 UTC. A usage token weighs what Claude reads and writes by what it costs. Shinji tells you at 90% of the week’s allowance and keeps working. Past 100%, extra use costs $9 per million usage tokens, on your next invoice, so a whole extra week’s worth is $18. Use past three times a week’s allowance waits for our team to check it before it’s billed, so a fault can’t run up your bill by itself.
- If a renewal doesn’t go through, Shinji keeps working for 7 days past the period you paid for, then pauses. Stripe tries your card again for up to two weeks. If no payment goes through, your subscription ends.
- We’ll tell you at least 30 days before a new price applies to you, and you can cancel before it does.
6. Refunds
- If our call shows Shinji can’t do your store’s work, or we can’t switch on a job we agreed on, we’ll tell you why, and you can have a full refund.
- Otherwise we don’t refund payments, including for part of a month, except where the law requires it.
7. Cancelling, and ending
- Cancel anytime from your billing page. Shinji keeps working until the end of the period you’ve paid for.
- Then we stop your agent and keep its computer for 14 days, in case you change your mind. After that we delete it, with everything on it. Ask us before then for a copy of your cards, chat and rules.
- We may pause or end your use of Shinji if you break these terms or don’t pay, if your use puts your store, other stores, buyers or us at risk, or if the law or TikTok requires it. Where we can, we’ll tell you first and give you a chance to fix it. If we end Shinji for you for a reason that isn’t yours, we’ll refund what you paid for the time you won’t get.
8. Your data
- Your store’s data, and what you write, stay yours. You let us use them only to run and support Shinji for you, as our Privacy Policy describes. We don’t use them to train AI models.
- You confirm you may let Shinji handle your buyers’ and creators’ details for your store’s work.
- If you send us ideas or feedback, we may use them freely.
9. Fair use
Don’t use Shinji to:
- break the law, or TikTok Shop’s policies;
- send spam, or misleading or harassing messages, to buyers, creators or anyone else;
- get around its limits or its safety checks;
- reach another store’s agent or data;
- resell it, or share your access to it.
10. Our responsibility, and its limits
- We provide Shinji as it is. As far as the law allows, we don’t promise that it’s free of errors or always available, that it finds every case or meets every deadline, or any result for your store.
- As far as the law allows, neither of us is responsible to the other for indirect or consequential losses, such as lost profits, sales or data, and we’re not responsible for what TikTok does to your account. Our total responsibility for all claims is limited to what you paid us in the 12 months before the claim.
- You’ll cover us for claims from others that come from your breaking these terms or TikTok Shop’s policies.
11. Changes to these terms
We may update these terms. We’ll post the new version here with its date and, if a change affects you, email you at least 30 days before it applies. If you keep using Shinji after that, the new terms apply. If you don’t agree, cancel before then.
12. The rest
- Delaware law governs these terms, and disputes go to the state or federal courts in Delaware, unless the law where you are says otherwise.
- These terms and our Privacy Policy are the whole agreement between us about Shinji. If a part can’t be enforced, the rest still applies. Not enforcing a part isn’t giving it up.
- We may transfer these terms to a company that takes over our business, and we’ll tell you. You may not transfer them without our OK.
- We send notices to your account’s email address. Send yours through our contact form.
